These general terms and conditions apply between the contractor and the client and form an integral part of the contracts, follow-up or supplementary orders and any other agreements concluded by and between the contractor and the client.<\/p>\r\n\r\n\r\n\r\n
Private investigation agency:\u00a0<\/strong>Die Detektei (BFSM\u00a0Schadenermittlung GmbH) ist Auftragnehmer im Sinne dieser Allgemeinen Gesch\u00e4ftsbedingungen.<\/p>\r\n\r\n\r\n\r\n Client:\u00a0<\/strong>The client is a natural person or legal entity who commissions the contractor to provide a service within the meaning of these general terms and conditions.<\/p>\r\n\r\n\r\n\r\n Investigation:\u00a0<\/strong>An investigation is the gathering of information in accordance with an assignment.<\/p>\r\n\r\n\r\n\r\n Surveillance:\u00a0<\/strong>Surveillance is the targeted observation of individuals and movable and\/or immovable property for the purpose of gathering information.<\/p>\r\n\r\n\r\n\r\n Report:\u00a0<\/strong>A report is a written summary of the findings of an investigation and\/or surveillance work.<\/p>\r\n\r\n\r\n\r\n Subcontractor:\u00a0<\/strong>A subcontractor is a company engaged by the contractor to perform, in whole or in part, the work owed by the contractor to the client.<\/p>\r\n\r\n\r\n\r\n Third party:\u00a0<\/strong>A third party is any natural person or legal entity other than the contractor and the client, with the exception of employees of the contractor and the client.<\/p>\r\n\r\n\r\n\r\n The subject-matter of the contract is the gathering of information regarding (legally relevant) facts, the gathering of evidence regarding (legally relevant) facts, and the preparation of reports.<\/p>\r\n\r\n\r\n\r\n The client instructs the contractor, on a case-by-case basis, to provide \u2018investigation\u2019 and \u2018surveillance\u2019 services.<\/p>\r\n\r\n\r\n\r\n The contractor makes its reports available to the client for internal use. Any other use is permitted only with the contractor\u2019s express consent.<\/p>\r\n\r\n\r\n\r\n The contractor is not liable for a specific outcome; consequently, this does not constitute a contract for work and services pursuant to the provisions of the Austrian Civil Code (Allgemeines B\u00fcrgerliches Gesetzbuch, ABGB). The client authorises and empowers the contractor to take any and all appropriate and necessary steps to fulfil the contract.<\/p>\r\n\r\n\r\n\r\n The contract between the client and the contractor is concluded when the contractor receives a written or verbal order from the client and the contractor has accepted it.<\/p>\r\n\r\n\r\n\r\n If the client does not have an ongoing business relationship with the contractor (framework agreement), these general terms and conditions are deemed to have been accepted unless the client objects to them within two working days.<\/p>\r\n\r\n\r\n\r\n The client confirms that the order placed does not serve any purposes that are unlawful or against common decency.<\/p>\r\n\r\n\r\n\r\n The contractor is entitled to engage subcontractors to carry out the services owed to the client.<\/p>\r\n\r\n\r\n\r\n Fees are calculated on the basis of the work carried out by the contractor. Hourly rates, mileage allowances and other expenses are to be invoiced. Fees are subject to individual agreement.<\/p>\r\n\r\n\r\n\r\n Verzug tritt ein, wenn der Auftraggeber der Zahlung nicht binnen f\u00fcnf Tagen nach F\u00e4lligkeit der Honorarforderung nachkommt. Sollte der Auftraggeber mit einer Zahlung in Verzug geraten, so verpflichtet sich der Auftraggeber Verzugszinsen in H\u00f6he von 9,2\u00a0% p.a. zu bezahlen. Weiters verpflichtet sich der Auftraggeber die im Zusammenhang mit der Einbringlichmachung entstehenden Kosten (u.a. Mahn-, Inkasso- und Rechtsanwaltskosten) zu ersetzen.<\/p>\r\n\r\n\r\n\r\n Any services provided by the contractor after the termination of the contractual relationship that are required under the terms of the original contract (e.g. in connection with witness summonses, obligations to provide information and disclose data under the GDPR, etc.) are to be reimbursed by the client in accordance with the fee payable for the primary assignment. The contractor is entitled to reimbursement of mileage allowance and other expenses.<\/p>\r\n\r\n\r\n\r\n In the course of carrying out the contract, the contractor obtains information on behalf of the client and makes it available to the client electronically and\/or in paper form. The client uses this information for the purposes of legal action and\/or legal defence and\/or to assess their rights and legal claims.<\/p>\r\n\r\n\r\n\r\n This may involve the disclosure of information to third parties. Furthermore, the actions taken by the contractor in the course of fulfilling the contract (investigations, surveillance of persons and property, etc.) may give rise to claims by third parties against the contractor. The client undertakes to indemnify and hold the contractor harmless in the event of any such claims.<\/p>\r\n\r\n\r\n\r\n The contractor is bound by a legal duty of confidentiality (section 130(5) of the Austrian Trade Regulation Act). The client shall ensure, on a case-by-case basis, that the contractor or the contractor\u2019s employees are released from their duty of confidentiality if and when required to provide witness testimony.<\/p>\r\n\r\n\r\n\r\n Sollten eigene Interessen des Auftragnehmers betroffen sein, die im Zusammenhang mit einer Auftragserteilung bestehen (z.B. Auftragnehmer wird klagsweise in Anspruch genommen oder muss selbst gerichtliche Schritte einleiten) ist der Auftraggeber verpflichtet die Entbindung der Verschwiegenheitsverpflichtung zu erteilen oder dem Auftragnehmer alle aus der Nichtentbindung entstehenden Sch\u00e4den zu ersetzen.<\/p>\r\n\r\n\r\n\r\nII Subject-matter of the contract<\/h2>\r\n\r\n\r\n\r\n
